1. Acceptance of Terms

By accessing or using Pixel Market ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We reserve the right to modify these Terms at any time without prior notice. Your continued use constitutes acceptance of revised Terms.

2. Service Description

Pixel Market is a digital marketplace where users can purchase, own, customize, and trade virtual pixels. Each pixel is a unique digital asset within our 1,000,000 pixel grid. The Service operates on blockchain principles but is not a cryptocurrency or security. All transactions are final and processed through Stripe.

3. User Accounts

You must provide accurate, current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Pixel Ownership and Trading

• Purchasing a pixel grants you a license to control that pixel within our Service
• You may set colors, list for sale, and transfer ownership through our platform
• Pixel ownership exists only within our Service and confers no rights outside the platform
• We do not guarantee any particular value or liquidity for pixels
• Market prices are determined by users; we make no representations about pixel values

5. Marketplace Fees

Secondary sales are subject to a 30% platform fee. When you sell a pixel, you receive 70% of the sale price, with 30% retained by the platform. This fee structure may change with 30 days notice. Primary sales (initial pixel purchases) are $1 per pixel with 100% going to the platform.

6. Payment Processing

All payments are processed through Stripe. By using our Service, you agree to Stripe's terms and conditions. Sellers using Stripe Connect must complete Stripe's onboarding and comply with their requirements. We are not responsible for payment processing delays or issues caused by Stripe or banking institutions.

7. Prohibited Activities

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws
• Upload inappropriate, offensive, or copyrighted content to pixels
• Manipulate or artificially inflate pixel prices through coordinated trading
• Use automated systems or bots without our written permission
• Attempt to hack, disrupt, or damage the Service
• Impersonate others or engage in fraudulent activities
• Violate any third-party rights

8. Content and Intellectual Property

You retain rights to content you create, but grant us a worldwide, non-exclusive, royalty-free license to display and use your pixel customizations as part of the Service. You represent that you have the right to use any content you upload. We may remove content that violates these Terms or applicable laws.

9. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

We make no guarantees regarding Service availability, pixel values, or marketplace liquidity. We are not responsible for any losses related to pixel trading or value fluctuations. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

10. Indemnification

You agree to indemnify, defend, and hold harmless Pixel Market, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service ceases immediately. Pixels owned by terminated accounts may be reclaimed by the platform without compensation.

12. Refund Policy

All sales are final. We do not offer refunds for pixel purchases or marketplace transactions. Disputed transactions should be resolved between buyers and sellers. Chargebacks may result in account suspension and loss of pixel ownership.

13. Privacy

Your use of the Service is subject to our Privacy Policy. We collect and process personal data as described in the Privacy Policy. By using the Service, you consent to such processing.

14. Dispute Resolution

Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to a jury trial or class action. This agreement shall be governed by the laws of Delaware, USA, without regard to conflict of law principles.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Pixel Market
• Severability: If any provision is found unenforceable, the remaining provisions continue in effect
• No Waiver: Our failure to enforce any right or provision is not a waiver
• Assignment: We may assign these Terms; you may not without our consent
• Force Majeure: We are not liable for failures due to circumstances beyond our control
